Citation Group snaps up PayCaptain, betting that payroll is the compliance product SMEs really want

The Citation Group has acquired PayCaptain, the London-based payroll software and managed services provider that holds the distinction of being the UK’s first B Corp certified payroll firm. The deal folds payroll, arguably the most universal compliance obligation any employer faces, into Citation’s sprawling suite of compliance products for small and medium-sized businesses, and signals the group’s intent to build a serious payroll capability on both sides of the world.

The logic behind the acquisition is refreshingly simple, at least as Citation tells it. Small business owners have long had to stitch together their regulatory obligations across a patchwork of separate vendors, keeping HR and employment law on one side and the monthly grind of payroll on the other. That fragmentation is where errors creep in, as changes to staff scheduling, screening, or sick leave have to be re-keyed across systems that do not talk to each other. Citation’s pitch is that bringing payroll under the same roof as its compliance advisory removes a meaningful back-office headache for firms that cannot afford large in-house administrative teams.

Founded by Simon Bocca in 2020, PayCaptain has made a name for itself on service quality rather than scale alone. The company recently reported a near-doubling of year-on-year revenue and a 98% customer retention rate, figures that point to a business its customers are reluctant to leave. Its model blends a modern, AI-enabled platform offering automation, analytics, and reporting with the reassurance of a fully managed service staffed by CIPP-qualified payroll experts.

What sets PayCaptain apart from your usual payroll bureau is its emphasis on employee financial wellbeing. The platform’s app lets workers watch their earnings accrue in real time, take emergency pay advances at no cost to the employee, set up salary savings, and read their payslips in plain language rather than jargon. Embedded AI features, including an in-app assistant and intelligent reporting, are designed to cut administrative work for employers while nudging staff towards healthier financial habits. That ethos is reflected in its B Corp certification, a credential still rare in the payroll world.

PayCaptain will operate as a dedicated payroll division within The Citation Group, with Bocca staying on as managing director. Citation has been at pains to reassure existing customers that nothing changes for them in terms of service, platform, or support, with PageCaptain’s capabilities to be progressively woven into Citation’s HR and workforce management software over the coming months.

The acquisition is the latest move in a global push. It follows Citation’s purchase of Australian payroll software provider foundU in 2025, and together the two deals point to a deliberate strategy of pairing payroll with compliance in every market the group operates in. Founded in 1995, Citation has grown from its origins in HR and health and safety into one of the UK’s larger compliance platform providers, with a suite of more than 15 products now supporting over 120,000 businesses across the UK, Canada, and Australia, and a workforce of close to 2,000 people.

It is worth noting who stands behind that expansion. Citation is backed by private equity firms KKR and HgCapital, and the PayCaptain deal fits the familiar pattern of a well-capitalised, PE-backed consolidator rolling up complementary software businesses to build an integrated platform. For PayCaptain’s customers and staff, the promised access to greater scale and distribution is the upside. The question that always hangs over deals of this kind is whether the qualities that made the smaller company distinctive, in this case its service obsession and its wellbeing-first ethos, survive absorption into a much larger machine. Bocca’s continued presence as managing director suggests both sides are alert to that risk.
